Terms of Service

The terms that govern your access to and use of the Citlyze website and AI-search visibility platform.
1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Citlyze website and platform (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. The Service
Citlyze measures AI-search visibility: prompt tracking, citation intelligence, competitor benchmarking, GEO audits, recommendations, content drafts, reports, and related exports. The Service observes and measures third-party AI engines; it does not control them, and features may change as those engines change.
3. Free trial
New accounts start with a 14-day trial at Brand Starter limits, no payment method required. We may modify or discontinue trial offers, and we may limit trials to prevent abuse. If you don't subscribe by the end of the trial, tracking pauses and access to plan features is suspended until you choose a plan.
4. Accounts
- You must provide accurate information and keep your credentials secure.
- You are responsible for activity that occurs under your account, workspaces, and API keys.
- You must be old enough to form a binding contract in your jurisdiction.
5. Subscriptions and billing
We bill paid plans in advance on a recurring monthly or annual basis through Stripe, our payment provider, and your use of the billing flow is also subject to Stripe's terms. Fees are exclusive of taxes, which you are responsible for where applicable. Fees are non-refundable except where the law requires otherwise. We may change pricing with prior notice, and changes apply to later billing periods. You can cancel at any time from the billing page; cancellation takes effect at the end of the current billing period.
Plan limits — prompts, engines, competitors, seats, audits, drafts, history, and monthly allowances — are part of the plan you purchase. We may enforce them technically, and monthly allowances reset on your plan's reset date without rollover.
6. Third-party and AI services
The Service is built on third-party providers, and your use of it is also subject to their terms. We authenticate you through Clerk, process payments through Stripe, store workspace data on Supabase, send email through Resend, and host on Vercel.
Measurement requests are routed through OpenRouter to the AI model providers included in your plan, including OpenAI, Google, Perplexity, xAI, DeepSeek, and ByteDance. These providers control their own models, pricing, and availability. We may add, replace, or remove providers, and an engine becoming unavailable or changing behavior is not a breach of these Terms.
We don't control these services and aren't responsible for their availability, changes, or how they handle data under their own agreements.
7. Acceptable use
You agree not to:
- Use the Service to violate any law or third-party right, or to track prompts or content you are not authorized to track.
- Reverse engineer, resell, sublicense, or misrepresent the Service except as expressly permitted.
- Interfere with, overload, probe, or attempt to gain unauthorized access to the Service, other customers' workspaces, or our providers.
- Circumvent plan limits, rate limits, or trial restrictions, including by creating multiple accounts.
- Share API keys outside your organization or use the API beyond its documented, read-only scope.
- Use the Service to send spam or unlawful content through configured notification channels.
8. Your data
You retain ownership of the workspace data you submit. You grant us the rights needed to operate the Service, including sending your tracked prompts and brand context to the AI providers above and storing the resulting measurements. We may use aggregated, de-identified data that does not identify you or your brand to operate and improve the Service. Our handling of personal information is described in our Privacy Policy.
9. AI outputs, measurements, and drafts
AI answers recorded by the Service are generated by third-party engines. They may be inaccurate, inconsistent between runs, or unfavorable, and they do not represent our views. Visibility scores and metrics are statistical estimates built from repeat-run sampling of those answers — they are measurements, not guarantees, and we do not promise any ranking, citation, visibility, or business outcome from using the Service.
Content drafts and recommendations are starting points that require human review. You are solely responsible for anything you edit, approve, publish, or ship based on the Service, including its accuracy and its compliance with law and third-party rights.
10. API access
Where your plan includes it, we provide a read-only API and MCP server with per-workspace keys. Keys are confidential; you are responsible for requests made with them and can revoke them at any time. We may apply rate limits and may suspend keys that threaten the stability or security of the Service.
11. Intellectual property
The Service, including its software, design, and content (excluding your data), is owned by us and our licensors and is protected by intellectual-property laws. These Terms do not grant you any rights other than the limited right to use the Service. If you send us feedback, we may use it without restriction or obligation to you.
12. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any answer, metric, audit, draft, or recommendation is accurate or complete. You are responsible for decisions you make based on the Service.
13. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, and our total liability for all claims arising out of or relating to the Service will not exceed the amount you paid us in the twelve months before the first claim arose.
14. Indemnification
You will defend and indemnify us against claims, damages, and expenses (including reasonable legal fees) arising from your workspace data, content you publish based on the Service, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
15. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if necessary to protect the Service, our providers, or other customers. On termination your right to use the Service ends; sections that by their nature survive (including Your data, Disclaimers, Limitation of liability, Indemnification, and Governing law) continue to apply.
16. Governing law
These Terms are governed by the laws of the jurisdiction in which Citlyze is registered, without regard to conflict-of-law rules, and disputes will be brought in the courts of that jurisdiction unless mandatory local law provides otherwise.
17. Changes to these terms
We may update these Terms from time to time. Material changes will be posted with an updated date and, where appropriate, communicated to you. Continued use after changes take effect constitutes acceptance.
18. Final provisions
These Terms, together with the Privacy Policy and any order or plan details you accept, are the entire agreement between you and us regarding the Service and supersede prior discussions.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions stay in effect, and the invalid provision will be replaced by a valid one that most closely reflects its intent. A failure to enforce a provision is not a waiver of it.
You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of the third-party services described above.
